EMPLOYMENT AND TRANSITION AGREEMENT
This Employment and Transition Agreement (“Agreement”) is made as of June 8, 2022, by and between Michael Bowen (“Executive”) and Nutex Health Inc. (the “Company”) (collectively referred to as the “Parties” or individually referred to as a “Party”).
WHEREAS, Executive is currently employed as the Company’s Chief Financial Officer (“CFO”);
WHEREAS, Executive has indicated his desire to retire from full-time employment and to resign from his employment with the Company; and
WHEREAS, Company desires to incentivize Executive to continue to serve as Company’s CFO until the date his successor to the position of CFO of the Company commences employment with the Company (the “Succession Date”) and, thereafter, to remain employed with the Company for the purpose of providing transition services for an additional twelve (12) months (the “Planned Separation Date”).
NOW, therefore, in consideration of the mutual covenants herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
